This Starter SEO Services Agreement ("Agreement") is entered into as of the date signed below by and between:

Underdog Solutions and Client may each be referred to as a "Party" and collectively as the "Parties."

AGREEMENT SUMMARY

Underdog Solutions will deliver its Starter SEO plan to Relax Realm Massage & Spa for three consecutive months, October through December 2026. The full 90-day investment is $2,247, calculated as $749 per month. The one-time SEO Foundation Setup fee of $1,499 is not charged, because that work was completed during the complimentary September 2026 campaign.

PRIOR ENGAGEMENT ACKNOWLEDGMENT

The September campaign. During September 2026, Underdog Solutions delivered the one-time SEO Foundation Setup and one month of Growth SEO to Relax Realm at no cost, with a documented value of $2,798. That engagement was complimentary, is now closed, and creates no ongoing obligation for either Party.

What carries forward. The Foundation Setup work carries forward permanently, which is why no setup fee applies to this Agreement or to any later renewal. The Growth tier deliverables delivered in September do not carry forward. This Agreement is for the Starter tier only, and the Starter deliverables and limits in Section 3 govern from October 1, 2026.

1. PARTIES AND PURPOSE

1.1 Parties. This Agreement is between Underdog Solutions ("Underdog," "Agency," "we," or "us") and Relaxation Realm LLC, doing business as Relax Realm Massage & Spa, and Kisha Carney (collectively, "Client," "you," or "your"). The Parties agree that electronic signatures and counterparts are binding.

1.2 Purpose. The engagement is designed to continue building organic and local search visibility for Relax Realm Massage & Spa across Cary, Durham, Apex, Morrisville, and Raleigh through a full calendar quarter of consistent SEO work.

2. ENGAGEMENT, TERM AND FEES

2.1 Start and Term. Services are scheduled to begin October 1, 2026 and continue for ninety (90) days through December 31, 2026, unless terminated earlier under Section 15. The start date depends on the signed acceptance, receipt of the investment, and campaign alignment. Late acceptance does not extend the December 31, 2026 end date unless Underdog agrees in writing.

2.2 Investment. The full 90-day investment is $2,247.00, calculated as $749.00 per month for October, November, and December 2026. Payment is due at acceptance and before onboarding and production begin.

2.3 Monthly Billing Option. Billing across three monthly payments of $749.00 may be arranged if approved in writing by both Parties before acceptance. The monthly option exists to make the investment manageable. It is not an additional discount and does not change the total. Each monthly payment falls due on the date stated in the issued invoice, and work may pause on any month where payment is outstanding.

2.4 Foundation Setup. Underdog's standard one-time SEO Foundation Setup fee of $1,499.00 is not charged under this Agreement, because the Foundation Setup was completed during the complimentary September 2026 campaign. It will also not be charged on a renewal of continuous service.

2.5 Hosting and External Costs. Website hosting and any existing website care plan remain separate and continue on their current billing cycle. This Agreement does not change, pause, or credit that arrangement. Domain registration, premium plugins, licensed software, email systems, booking and payment platforms, advertising media spend, printing, photography, video, and other third-party costs are excluded unless expressly authorized in writing. No optional external cost will be incurred for the Client without prior written approval.

2.6 Refunds. Earned monthly fees, reserved production time, completed deliverables, purchased licenses, and incurred third-party costs are nonrefundable. Underdog does not refund a month in which work has been performed.

2.7 Capacity; No Rollover. The Starter deliverables listed in Section 3 are a monthly ceiling, not a guaranteed minimum or a bank of prepaid labor. Any monthly deliverable not used or not made possible by available access, content, or approvals expires at month end and does not roll forward past December 31, 2026.

2.8 Additional Work and Upgrades. Requests beyond the Starter deliverables or outside this scope require written approval and may be quoted separately, deferred to a later month, or billed at Underdog's then-current rate. Client may upgrade to the Growth or Market Dominator tier mid-term with written approval, with the difference prorated from the month the upgrade begins.

3. INCLUDED SCOPE OF SERVICES

3.1 Starter SEO, delivered each month. Up to ten (10) tracked focus keywords; two (2) SEO blog articles; one (1) service page optimization; four (4) Google Business Profile posts; three (3) citation submissions and one (1) authority backlink; GEO optimization; Google Search Console monitoring; technical SEO review; core on-page SEO covering titles, descriptions and headings; internal linking recommendations; foundational local search development; Google and Bing alignment; one (1) monitored competitor; and a monthly report with a strategy check-in.

3.2 Across the 90 days. Six (6) SEO blog articles, three (3) service page optimizations, twelve (12) Google Business Profile posts, nine (9) citations, three (3) authority backlinks, three (3) monthly reports, and one (1) end-of-quarter review with a recommendation for the following term.

3.3 Starter tier limitations. Client acknowledges that Starter is Underdog's entry tier. AI Search Optimization, featured snippet optimization, and user experience reviews begin at the Growth tier. Conversion rate optimization, landing page optimization, location pages, and VIP priority support are available only at the Market Dominator tier. Starter is limited to ten focus keywords and one monitored competitor, and monthly work is prioritized within those limits rather than covering the full service menu.

3.4 Excluded from this Agreement. Advertising media spend and PPC management; social media management or posting; photography and videography; new website pages outside an approved scope; full website redesign; custom software, booking system or CRM development; printed materials; third-party licenses; and any guarantee of rankings, traffic, calls, bookings, or revenue.

3.5 Communication and Reporting. Underdog will use its designated project communication system and may provide periodic progress summaries, analytics, meeting notes, or recommendations. Client agrees to keep requests centralized and to identify one authorized decision-maker. Informal messages outside the designated system do not amend scope, deliverables, deadlines, or approvals.

4. ONBOARDING AND ALIGNMENT

4.1 Three-Business-Day Requirement. Client must complete campaign alignment within three (3) business days after signing or after receiving Underdog's request, whichever occurs later. Completion includes confirming the ten focus keywords, the service page priority order, seasonal promotions, current service and pricing details, and any account access that has changed since September.

4.2 Incomplete Alignment. If Client does not complete alignment within three (3) business days, Underdog may pause production until all required items are received. Monthly billing, the annual hosting cycle, and the December 31, 2026 end date continue during the pause. No refund, credit, extension, rollover, or replacement time is owed for delays caused by incomplete alignment, unavailable access, missing materials, or Client inactivity.

4.3 Reactivation and Scheduling. After Client cures the deficiency, Underdog will place the work into the next reasonably available production schedule. Original monthly deliverable dates are not guaranteed after a pause.

5. CLIENT RESPONSIBILITIES

• Maintain timely administrator-level access to WordPress, hosting, domain and DNS, Google Business Profile, Google Analytics, Google Search Console, Bing Webmaster Tools, the booking platform, and other required systems.
• Provide accurate legal business information, licensing and credential details, service descriptions, pricing, seasonal promotions, policies, brand assets, contact information, testimonials, images, permissions, and source materials.
• Review deliverables and provide one clear, consolidated response within three (3) business days unless another review period is stated.
• Maintain lawful rights and permissions for every logo, image, quote, testimonial, client photograph, video, document, trademark, and other material supplied to Underdog, including written client consent for any before-and-after or treatment imagery.
• Obtain independent legal, tax, insurance, licensing, accessibility, privacy, and regulatory review as appropriate, especially for treatment claims, results claims, disclosures, pricing, refunds, terms, and privacy practices.
• Maintain current payment information and promptly pay invoices, hosting, booking platform fees, licenses, advertising, and other approved third-party expenses.

6. ACCESS, SECURITY AND THIRD-PARTY PLATFORMS

6.1 Credentials. Client authorizes Underdog and its approved team members or contractors to access and modify Client systems solely to perform this Agreement. Client should use role-based access and secure credential-sharing methods and remains responsible for account ownership, recovery information, and user removal.

6.2 Third Parties. Third-party platforms are governed by their own terms, pricing, uptime, approval processes, policies, algorithms, and technical limits. Underdog is not responsible for platform outages, suspensions, policy changes, hacking outside Underdog's reasonable control, rejected listings, API changes, plugin conflicts, or vendor discontinuation.

6.3 Backups and Security. Underdog will use commercially reasonable practices but does not warrant uninterrupted service or absolute security. Client is responsible for maintaining independent copies of critical business records, content, client information, and financial data.

7. WORDPRESS MAINTENANCE AND CHANGE RISK

7.1 Existing Environment. Client understands that WordPress sites may contain legacy code, third-party themes, plugins, customizations, configuration defects, or unsupported components. Work on one component may reveal or trigger conflicts elsewhere.

7.2 Updates and Recovery. Underdog may stage, back up, update, replace, disable, or recommend removal of components when reasonably necessary to perform the SEO work. Major rebuilds, malware remediation, emergency recovery, custom development, advanced integrations, database reconstruction, accessibility remediation, or damage caused by Client or third-party changes may require separate scope and fees.

7.3 Change Control. Client will notify Underdog before permitting another vendor or user to make material website changes. Underdog is not responsible for defects, delays, lost work, ranking loss, or restoration costs caused by unauthorized or conflicting changes.

8. SEO, MARKETING AND PERFORMANCE DISCLAIMER

8.1 No Ranking or Revenue Guarantee. Underdog does not guarantee search-engine placement, map placement, indexing, traffic, calls, leads, appointments, bookings, revenue, profitability, platform approval, or any specific result. Search engines and platforms independently control rankings and visibility, and results depend on competition, market conditions, Client responsiveness, reviews, reputation, pricing, seasonality, content, site history, and third-party systems. Ninety days of consistent work is a reasonable window in which to observe movement, not a guarantee of position.

8.2 Ethical Methods. Underdog may refuse deceptive, unlawful, infringing, spam-based, manipulative, or platform-prohibited tactics. Client will not require fake or incentivized reviews, false treatment or results claims, purchased engagement presented as organic, keyword stuffing, cloaking, impersonation, or other practices that create material compliance or reputation risk.

8.3 Advertising Excluded. Media spend and paid-ad management are excluded unless stated in a signed addendum. Client remains responsible for ad accounts, payment methods, platform verification, service eligibility, disclosures, and all media charges.

9. CONTENT, APPROVALS AND REVISIONS

9.1 Review and Acceptance. Client is responsible for final factual, legal, pricing, spelling, contact, and brand review of all published content. A deliverable is considered approved when Client approves it in writing, publishes or uses it, requests the next item, or does not provide specific revision requests within five (5) business days after delivery.

9.2 Revisions. Reasonable revisions are included within the available monthly deliverables when they remain consistent with the approved direction. A new concept, changed offer, rewritten service positioning, reversed approval, or material scope change is new work.

9.3 Delays. Monthly delivery depends on timely access, content, approvals, and payment. Client-caused delays may push a deliverable into the following month and do not extend the campaign term.

10. INTELLECTUAL PROPERTY

10.1 Client Materials. Client retains ownership of Client's pre-existing trademarks, content, service descriptions, business records, and materials supplied to Underdog. Client grants Underdog a limited license to use them to perform this Agreement.

10.2 Final Deliverables. Upon full payment of all amounts due, Client owns the final, approved, custom deliverables created specifically for Relax Realm Massage & Spa under this Agreement, including published website copy, blog articles, and metadata, excluding Underdog Tools and third-party materials.

10.3 Underdog Tools. Underdog retains ownership of its pre-existing and reusable methods, templates, processes, prompts, code libraries, systems, know-how, strategy frameworks, internal documents, project files, drafts, audits, and tools ("Underdog Tools"). Underdog grants Client a nonexclusive license to use any Underdog Tools embedded in a paid final deliverable as necessary to use that deliverable.

10.4 Third-Party Materials. Fonts, plugins, themes, stock media, software, APIs, platform features, and other third-party items remain governed by their licenses. Transferability and continued access are not guaranteed and may require Client-owned subscriptions.

10.5 Portfolio. Unless Client requests confidentiality in writing before publication, Underdog may identify Relax Realm Massage & Spa as a client and display nonconfidential, publicly launched work and reported results in its portfolio, proposals, awards, and marketing. Underdog will not disclose private financial, client, credential, or unpublished strategy information.

11. CONFIDENTIALITY AND DATA

11.1 Confidentiality. Each Party will use reasonable care to protect the other Party's nonpublic business, technical, customer, financial, credential, and strategy information and will use it only for this engagement. This does not cover information that is public without breach, already lawfully known, independently developed, or lawfully received from another source.

11.2 Required Disclosure. A Party may disclose information when legally required, after providing notice when legally permitted. Underdog may share necessary information with team members, contractors, and vendors bound by confidentiality obligations.

11.3 Privacy Compliance. Client is the business or controller responsible for determining lawful collection, notices, consent, retention, and use of client or booking data. Underdog provides implementation support and does not serve as Client's attorney, compliance officer, insurer, or records custodian.

12. INDEPENDENT CONTRACTOR AND TEAM

12.1 Relationship. Underdog is an independent contractor. Nothing creates employment, partnership, joint venture, fiduciary duty, franchise, or agency authority to bind the other Party.

12.2 Team Resources. Underdog may use employees, contractors, specialists, software, automation, and artificial-intelligence-assisted tools under its direction. Underdog remains responsible for coordinating the contracted services and will use reasonable safeguards for Client information.

13. WARRANTIES; LIMITATION OF LIABILITY

13.1 Services Standard. Underdog warrants that it will perform services in a professional and commercially reasonable manner. Except for this limited warranty, services and deliverables are provided "as is" to the fullest extent permitted by law, without implied warranties of merchantability, fitness for a particular purpose, noninfringement, or uninterrupted operation.

13.2 Correction Remedy. Client must report a material service defect within ten (10) business days after delivery. Underdog's first obligation is to use reasonable efforts to correct the affected work. This remedy does not apply to third-party changes, Client edits, unsupported systems, new requirements, or matters outside the approved scope.

13.3 Liability Cap. To the fullest extent permitted by law, Underdog's total aggregate liability arising from this Agreement will not exceed the service fees actually paid by Client to Underdog during the three (3) months immediately preceding the event giving rise to the claim.

13.4 Excluded Damages. Neither Party will be liable for indirect, incidental, special, punitive, exemplary, or consequential damages, or for lost profits, lost revenue, lost data, lost rankings, lost opportunities, reputational harm, or business interruption, even if advised that such damages were possible. These limits do not excuse payment obligations, confidentiality breaches, infringement, fraud, or willful misconduct to the extent applicable law prohibits limitation.

14. INDEMNIFICATION

14.1 Client Indemnity. Client will defend, indemnify, and hold harmless Underdog and its team from third-party claims, damages, penalties, and reasonable costs arising from Client's services, licensed or regulated activities, treatment or results claims, supplied materials, client images and testimonials, client data practices, instructions, legal violations, infringement, unauthorized claims, or breach of this Agreement.

14.2 Underdog Indemnity. Underdog will defend and indemnify Client from a third-party claim that a final custom deliverable created solely by Underdog, as delivered and used as authorized, directly infringes a United States copyright or trademark, excluding Client materials, third-party materials, combinations, modifications, instructions, facts, ideas, methods, and continued use after notice. Underdog may modify, replace, or withdraw the affected item as its primary remedy.

15. SUSPENSION AND TERMINATION

15.1 Termination for Convenience. Either Party may terminate this Agreement with thirty (30) days' written notice. Client remains responsible for fees through the notice period, completed work, time reserved, noncancelable commitments, and approved third-party expenses. Prepaid amounts covering months in which no work has been performed will be refunded on a prorated basis, less any earned fees and incurred costs.

15.2 Immediate Suspension or Termination. Underdog may suspend or terminate for overdue payment, denied access, unlawful or deceptive requests, abuse or threats, security risk, repeated failure to approve or supply required materials, or material breach. When reasonably curable, Underdog will provide written notice and a reasonable opportunity to cure.

15.3 Closeout. After payment of all amounts due, Underdog will provide reasonable access or handoff of final deliverables then in its possession, including published content and reporting. Migration, training, cleanup, exports, restoration, vendor coordination, or extensive offboarding may be billed separately. Underdog may remove its access after termination and is not required to retain working files indefinitely.

16. DISPUTES AND GENERAL TERMS

16.1 Good-Faith Resolution. Before filing a claim, the Parties will provide written notice describing the dispute and will attempt in good faith to resolve it through a management-level conversation within fifteen (15) days.

16.2 Governing Law and Venue. This Agreement is governed by the laws of the State of North Carolina, without regard to conflict-of-law rules. Any court proceeding will be brought in a state or federal court with jurisdiction in North Carolina, and the Parties consent to that venue.

16.3 Notices. Formal notices may be delivered by email to the Parties' designated business addresses and are effective when sent, provided the sender does not receive a delivery failure. Routine project communication is not a formal legal notice unless it clearly states that it is notice under this Agreement.

16.4 Entire Agreement; Order of Priority. This Agreement and signed addenda are the entire agreement concerning this engagement and replace prior oral or written discussions on the same subject, including the complimentary September 2026 arrangement. If documents conflict, a later signed addendum controls, followed by this Agreement, followed by the offer page. Proposals and messages do not change these terms unless expressly incorporated and approved by both Parties.

16.5 Changes; Waiver; Assignment. Changes must be in writing and approved by both Parties. A waiver once is not a continuing waiver. Client may not assign this Agreement without Underdog's written consent, except in connection with a sale of substantially all of Client's business that assumes all obligations. Underdog may assign to a successor or affiliated business.

16.6 Severability; Survival. If a provision is unenforceable, it will be narrowed or removed only as necessary, and the remainder will continue. Payment, intellectual property, confidentiality, disclaimers, limitations, indemnification, dispute, and closeout provisions survive termination.

16.7 Renewal. This Agreement ends December 31, 2026. Nothing renews or is charged automatically. Any term beginning January 1, 2027 requires a new written or electronic approval by both Parties, and pricing is subject to change for that term.

16.8 Electronic Signatures. Typed names, electronic-signature platform signatures, and counterparts are valid and enforceable to the same extent as original signatures.

17. SIGNATURE AND AUTHORIZATION

By signing, each Party confirms that it has authority to enter this Agreement, has reviewed and accepts the scope, fees, exclusions, responsibilities, and terms, and authorizes services to begin as stated.

ACKNOWLEDGMENTS

By signing below, Client acknowledges and accepts:

1. The Starter tier scope of services described in Section 3 of this Agreement.
2. That the full 90-day investment is $2,247.00, calculated as $749.00 per month for October, November, and December 2026, and that payment is due at acceptance before onboarding and production begin.
3. That the $1,499.00 SEO Foundation Setup fee is not charged under this Agreement, because that work was completed during the complimentary September 2026 campaign, and that the September campaign is closed.
4. That Starter is the entry tier, limited to ten (10) focus keywords and one (1) monitored competitor, and that AI Search Optimization, featured snippet optimization, user experience reviews, conversion rate optimization, landing page optimization, location pages, and VIP priority support are not included at this tier.
5. That the Section 3 deliverables are a monthly ceiling, that unused monthly deliverables expire at month end and do not roll forward past December 31, 2026, and that work beyond the included scope requires written approval.
6. That website hosting and any existing care plan remain separate on their current billing cycle, and that advertising spend, social media management, premium plugins, licensed software, booking platform fees, photography, and other third-party costs are excluded unless expressly authorized in writing.
7. That the campaign term is October 1, 2026 through December 31, 2026, that nothing renews or is charged automatically, and that any term beginning January 1, 2027 requires new written or electronic approval by both Parties.
8. That no ranking, map placement, traffic, call, booking, or revenue result is guaranteed, and that the signer is authorized to enter into this Agreement for Relaxation Realm LLC, doing business as Relax Realm Massage & Spa.
