SEARCH ENGINE OPTIMIZATION — MONTHLY MANAGEMENT AGREEMENT

This SEO Services Agreement ("Agreement") is entered into on the Effective Date by and between Underdog Solutions ("Agency") — 150 Fayetteville Street, Suite 300, Raleigh, North Carolina 27601 · 919-823-7924 · info@underdogsolutions.com — and the Client identified in the signup form above. Collectively, the "Parties."

1. Services

Agency agrees to provide SEO, Local SEO, Google Business Profile Optimization, Content Marketing, Link Building, GEO Optimization, AI Search Optimization, User Experience Optimization, Search Console Monitoring, Competitor Analysis, Reporting, Consulting, and related digital marketing services as selected by Client.

2. Required SEO Foundation Setup

Prior to ongoing SEO services, Client agrees to complete the SEO Foundation Setup. One-time fee: $1,499. Includes technical SEO audit & corrections, focus keyword & competitor research, homepage & service-page optimization, title/meta optimization, internal linking, schema markup, XML sitemap, robots.txt, Google Search Console & Analytics setup, mobile & Core Web Vitals review, and crawl/indexing review. The fee is earned upon receipt and becomes non-refundable once work has commenced.

3. SEO Package Selection

Client selects one package:

• Starter SEO — $699/mo, $2,097 every 90 days: 2 blog articles, 1 service-page optimization, 4 GBP posts, 3 citations, 1 authority backlink, GEO optimization, Search Console monitoring, up to 10 keywords, 1 competitor, monthly reporting & strategy.
• Growth SEO — $999/mo, $2,997 every 90 days: 4 blog articles, 2 service-page optimizations, 8 GBP posts, 8 citations, 3 authority backlinks, featured snippet, GEO + AI search optimization, UX reviews, up to 25 keywords, 3 competitors, monthly reporting & strategy session.
• Market Dominator SEO — $1,750/mo, $5,250 every 90 days: 8 blog articles, 4 service-page optimizations, 2 location pages, 12 GBP posts, 15 citations, 8 authority backlinks, advanced GEO + AI optimization, CRO, landing-page optimization, up to 50 keywords, 5 competitors, priority support, monthly reporting & strategy.

4. Payment Terms

Client pays the selected package fee plus the required SEO Foundation Setup Fee. First payment: Foundation Fee + First Quarter SEO Fee (Starter $3,596 / Growth $4,496 / Market Dominator $6,749). Client authorizes Agency to automatically charge the payment method on file every ninety (90) days unless terminated per these terms.

5. Automatic Renewal

This Agreement automatically renews for successive ninety (90) day terms. Client may terminate by written notice at least thirty (30) days prior to the next renewal date. Without timely notice, the Agreement renews and the quarterly fee is charged. No partial or prorated refunds.

6. Client Responsibilities

Client agrees to provide website, hosting, and domain access when requested; maintain active hosting and domain registration; provide accurate business information; respond timely; review deliverables; and maintain legal compliance. Agency is not responsible for delays caused by lack of access, missing information, delayed approvals, or Client inaction.

7. Client Content Responsibility

Client is solely responsible for all information, claims, offers, pricing, products, services, testimonials, guarantees, advertisements, and content published online, and warrants such information is accurate, truthful, legally compliant, non-deceptive, properly licensed, and non-infringing. Agency may rely on Client-provided information without independent verification.

8. Content Approval

All content, edits, blogs, service pages, ads, landing pages, and social posts are deemed approved upon publication unless Client provides written objection within ten (10) business days. Once approved, Client assumes full responsibility for the content.

9. No Guarantee of Results

Agency does not control search engines, AI platforms, directories, social platforms, or third-party websites, and makes no guarantee of first-page or #1 rankings, lead/revenue generation, GBP/AI rankings, or visibility. Agency agrees only to perform services using generally accepted industry practices.

10. Chargeback & Payment Dispute Waiver

Work begins immediately after payment is received and all payments are earned upon receipt. Client agrees not to initiate chargebacks, ACH reversals, or payment/credit-card/processor disputes without first providing Agency written notice and thirty (30) days to cure. If Agency prevails, Client is responsible for outstanding balances, collection costs, attorney fees, court & administrative fees, and interest at 1.5% per month. Agency may suspend services during any dispute.

11. Ownership of Work Product

Upon full payment, Client owns website, blog, and graphics created specifically for Client. Agency retains ownership of its proprietary systems, templates, processes, methodologies, reporting systems, frameworks, and training materials.

12. Third-Party Services

Agency may use third-party platforms (Google, Bing, OpenAI, Meta, WordPress, directory/citation/analytics/SEO platforms) and is not responsible for algorithm updates, outages, account suspensions, policy changes, ranking fluctuations, or platform decisions.

13. Indemnification

Client agrees to defend, indemnify, and hold harmless Underdog Solutions and its owners, officers, employees, contractors, and agents from any claims, damages, liabilities, judgments, penalties, costs, and attorney fees arising from Client's business operations, products/services, content, marketing/advertising claims, regulatory violations, IP/copyright/trademark/defamation/privacy/accessibility/false-advertising claims, or any Client-provided information. This obligation survives termination.

14. No Legal Review

Agency is not a law firm and does not provide legal advice or guarantee compliance with FTC, ADA, HIPAA, or state/federal/industry regulations. Client is solely responsible for obtaining legal review when necessary.

15. Limitation of Liability

Agency acts solely as a marketing, consulting, design, development, and technology provider and is not liable for content accuracy, marketing/product/service claims, regulatory actions, investigations, complaints, defamation/copyright/trademark claims, revenue/profit losses, business interruption, reputational harm, or search/AI ranking losses. Agency's total liability shall not exceed the total amount paid by Client during the immediately preceding ninety (90) day period.

16. Refund Policy

All payments are non-refundable. SEO involves immediate labor, research, planning, content creation, optimization, implementation, and consulting that cannot be recovered once performed. Client acknowledges SEO is a long-term strategy and results may take several months.

17. Termination

Agency may immediately terminate for non-payment, abuse of Agency personnel, illegal or fraudulent activity, or breach. Client remains responsible for all amounts due through the current billing term.

18. Governing Law & Venue

Governed by the laws of the State of North Carolina. Any dispute shall be brought exclusively in the state or federal courts located in Wake County, North Carolina, and both Parties consent to that jurisdiction.

19. Entire Agreement

This Agreement constitutes the entire agreement between the Parties and supersedes all prior discussions, proposals, and agreements. No modification is valid unless made in writing and signed by both Parties. By signing below, the Parties affix their signatures effective as of the date signed.
