This Digital Growth & Website Services Agreement ("Agreement") is entered into as of September 1, 2026 by and between:

Underdog Solutions and Client may each be referred to as a "Party" and collectively as the "Parties."

AGREEMENT SUMMARY

Underdog Solutions will give a coordinated, growth-focused support relationship for Kodak Cleaning Solutions with a complete Growth WordPress Website Design and a Growth SEO package at $0 cost to the Client (documented service value of $9,747). Client's monthly payment remains $0.00. Avauntee Andrepoint is gifting and internally covering the professional-service value through January 15, 2027.

GIFT AND RELATIONSHIP ACKNOWLEDGMENT

Purpose of the Gift. Avauntee Andrepoint is providing the new website and paid SEO services described in this Agreement as a personal business gift to Kodak Cleaning Solutions through January 15, 2027. This gift recognizes Samantha Premdas and Kodak Cleaning Solutions as one of Underdog Solutions' The Luke Project selected businesses and honors the parties' shared experience of aligning and growing their businesses. It is Underdog's sincere way of saying thank you.

No Surprise Billing. Client may receive monthly invoices, receipts, or accounting statements beginning in September 2026 reflecting the services and marketing value delivered. Those records are intended to document the work and the value internally paid or credited by Avauntee Andrepoint; they do not create an additional payment obligation for Client beyond any annual hosting charge and any separately authorized third-party expense. Client is encouraged to retain all receipts and consult its own tax professional regarding any available deduction, credit, or accounting treatment. Underdog does not provide tax advice or guarantee a tax result.

1. PARTIES AND PURPOSE

1.1 Parties. This Agreement is between Underdog Solutions ("Underdog," "Agency," "we," or "us") and Kodak Cleaning Solutions and Samantha Premdas (collectively, "Client," "you," or "your"). The Parties agree that electronic signatures and counterparts are binding.

1.2 Purpose. The engagement is designed to organize and grow Kodak Cleaning Solutions as a leading cleaning services online presence.

2. ENGAGEMENT, TERM AND FEES

2.1 Start and Special Term. Services begin September 2, 2026. The special relationship rate is honored through January 15, 2027, unless this Agreement is terminated earlier under Section 16. The Parties may renew or replace the arrangement in writing.

2.2 Monthly Service Fee. Client's monthly payment will remain exactly $0.00 per month through January 15, 2027. From January 16, 2027, any services and price require a new written or electronic approval by both Parties.

2.3 Hosting and External Costs. Website hosting (if needed) remains separate at $540.00 per year and will continue on Client's current annual billing cycle. The promise of no additional professional-service fees does not require Underdog or Avauntee Andrepoint to absorb external vendor charges. Domain registration, premium plugins, licensed software, email systems, payment processors, learning/community platforms, advertising media spend, printing, production, photography, video, shipping, taxes, and other third-party costs are excluded unless expressly gifted or authorized in writing. No optional external cost will be incurred for the Client without prior approval.

2.4 Billing and Gift Accounting. Hosting is due on its existing annual billing date, and approved third-party expenses are due upon invoice. Monthly records may show the full value of delivered marketing services together with an internal gift, credit, or payment made on Client's behalf. Any such internally covered amount is not collectible from the Client during the Gift Term. Work may be paused when an amount actually owed by the Client is overdue. Earned monthly fees, reserved time, hosting, purchased licenses, and incurred third-party costs are nonrefundable.

2.5 Capacity; No Rollover. Forty hours is a monthly capacity ceiling, not a guaranteed minimum usage commitment or a bank of prepaid labor. Unused hours expire at month-end and do not roll forward. Time includes strategy, meetings, research, design, development, writing, SEO, QA, revisions, reporting, communication, project management, vendor coordination, troubleshooting, backups, deployment, and administration.

2.6 Additional Work. Requests beyond the included capacity or outside the scope require written approval and may be quoted separately, deferred to a later month, or billed at Underdog's then-current rate. Underdog will not knowingly exceed the included capacity without notice and approval.

3. INCLUDED SCOPE OF SERVICES

3.1 WordPress Website Support. Within available monthly capacity, services may include WordPress content updates; page creation or refinement; mobile-responsive adjustments; navigation and CTA improvements; forms and lead capture; e-commerce or checkout configuration; product and program listings; plugin/theme/core updates; routine backups; reasonable security and uptime monitoring; speed and technical cleanup; analytics or tracking installation; integrations; and troubleshooting.

3.2 SEO Support. Within available monthly capacity, services may include keyword and competitor research; on-page titles, descriptions, headings, copy and internal linking; technical SEO review; indexing and sitemap support; local SEO recommendations; content planning; analytics and Search Console review; GEO/AEO improvements; reporting; and reasonable optimization of approved pages and content. The exact monthly mix is determined by priority, access, available data, and remaining capacity.

3.3 Communication and Reporting. Underdog will use its designated project communication system and may provide periodic progress summaries, analytics, meeting notes, or recommendations. Client agrees to keep requests centralized and to identify one authorized decision-maker. Informal messages outside the designated system do not amend scope, fees, deadlines, or approvals.

4. ONBOARDING AND ACTIVATION

4.1 Three-Business-Day Requirement. Client must complete onboarding within three (3) business days after signing or receiving Underdog's onboarding request, whichever occurs later. Completion includes submitting requested forms, current brand/business information, content, administrator access, credentials, platform invitations, billing authorization, and a designated decision-maker.

4.2 Incomplete Onboarding. If Client does not complete onboarding within three (3) business days, Underdog may pause onboarding, production, launch dates, and services until all required items are received. Monthly billing, the annual hosting cycle, and the Gift Term continue during the pause; no refund, credit, extension, rollover, or replacement time is owed for delays caused by incomplete onboarding, unavailable access, missing materials, or Client inactivity.

4.3 Reactivation and Scheduling. After Client cures the onboarding deficiency, Underdog will place the work into the next reasonably available production schedule. Original deadlines are not guaranteed after a pause, and the January 15, 2027 Gift Term is not extended unless Underdog agrees in writing.

6. CLIENT RESPONSIBILITIES

• Provide timely administrator-level access to WordPress, hosting, domain/DNS, analytics, Search Console, email, payment processor, social platforms, learning/community platforms, and other required systems.
• Provide accurate legal business information, brand assets, program details, curriculum, pricing, disclosures, policies, contact information, testimonials, images, permissions, and source materials.
• Review deliverables and provide one clear, consolidated response within three (3) business days unless another review period is stated.
• Maintain lawful rights and permissions for every logo, image, quote, testimonial, contact list, email address, video, document, trademark, and other material supplied to Underdog.
• Obtain independent legal, tax, financial-services, insurance, accessibility, privacy, and regulatory review as appropriate, especially for claims, disclosures, email/SMS marketing, refunds, terms, and privacy practices.
• Maintain current payment information and promptly pay invoices, processor fees, taxes, licenses, advertising, hosting, and other approved third-party expenses.

7. ACCESS, SECURITY AND THIRD-PARTY PLATFORMS

7.1 Credentials. Client authorizes Underdog and its approved team members or contractors to access and modify Client systems solely to perform this Agreement. Client should use role-based access and secure credential-sharing methods and remains responsible for account ownership, recovery information, and user removal.

7.2 Third Parties. Third-party platforms are governed by their own terms, pricing, uptime, approval processes, policies, algorithms, and technical limits. Underdog is not responsible for platform outages, suspensions, policy changes, hacking outside Underdog's reasonable control, rejected ads/listings, API changes, plugin conflicts, processor holds, or vendor discontinuation.

7.3 Backups and Security. Underdog will use commercially reasonable practices but does not warrant uninterrupted service or absolute security. Client is responsible for maintaining independent copies of critical business records, content, customer information, and financial data.

8. WORDPRESS MAINTENANCE AND CHANGE RISK

8.1 Existing Environment. Client understands that WordPress sites may contain legacy code, third-party themes, plugins, customizations, malware, configuration defects, or unsupported components. Work on one component may reveal or trigger conflicts elsewhere.

8.2 Updates and Recovery. Underdog may stage, back up, update, replace, disable, or recommend removal of components when reasonably necessary. Major rebuilds, malware remediation, emergency recovery, custom application development, advanced integrations, database reconstruction, accessibility remediation, or damage caused by Client/third-party changes may require separate scope and fees.

8.3 Change Control. Client will notify Underdog before permitting another vendor or user to make material website changes. Underdog is not responsible for defects, delays, lost work, or restoration costs caused by unauthorized or conflicting changes.

9. SEO, MARKETING AND PERFORMANCE DISCLAIMER

9.1 No Ranking or Revenue Guarantee. Underdog does not guarantee search-engine placement, indexing, traffic, leads, sales, attendance, revenue, profitability, platform approval, or any specific result. Search engines and platforms independently control rankings and visibility, and results depend on competition, market conditions, Client responsiveness, reputation, budget, content, history, and third-party systems.

9.2 Ethical Methods. Underdog may refuse deceptive, unlawful, infringing, spam-based, manipulative, or platform-prohibited tactics. Client will not require fake reviews, false claims, purchased engagement presented as organic, keyword stuffing, cloaking, impersonation, or other practices that create material compliance or reputation risk.

9.3 Advertising Excluded. Media spend and paid-ad management are excluded unless stated in a signed addendum. Client remains responsible for ad accounts, payment methods, platform verification, product eligibility, disclosures, and all media charges.

10. CONTENT, APPROVALS AND REVISIONS

10.1 Review and Acceptance. Client is responsible for final factual, legal, pricing, spelling, contact, and brand review. A deliverable is considered approved when Client approves it in writing, publishes or uses it, requests the next phase, or does not provide specific revision requests within five (5) business days after delivery.

10.2 Revisions. Reasonable revisions are included within available monthly capacity when they remain consistent with the approved direction. A new concept, new audience, changed offer, rewritten curriculum, reversed approval, or material scope change is new work.

10.3 Delays. Deadlines depend on timely access, content, approvals, payments, and third-party availability. Client-caused delays automatically extend schedules. Underdog may re-sequence the work and is not required to reserve unused production time indefinitely.

11. INTELLECTUAL PROPERTY

11.1 Client Materials. Client retains ownership of Client's pre-existing trademarks, content, curriculum, business records, and materials supplied to Underdog. Client grants Underdog a limited license to use them to perform this Agreement.

11.2 Final Deliverables. Upon full payment of all amounts due, Client owns the final, approved, custom deliverables created specifically for Kodak Cleaning Solutions, excluding Underdog Tools and third-party materials. Client is intended to own the Kodak Cleaning Solutions offer ecosystem and its approved custom intellectual property, subject to third-party license terms and the exclusions below.

11.3 Underdog Tools. Underdog retains ownership of its pre-existing and reusable methods, templates, processes, prompts, code libraries, systems, know-how, strategy frameworks, internal documents, project files, drafts, and tools ("Underdog Tools"). Underdog grants Client a nonexclusive license to use any Underdog Tools embedded in a paid final deliverable as necessary to use that deliverable.

11.4 Third-Party Materials. Fonts, plugins, themes, stock media, software, APIs, platform features, and other third-party items remain governed by their licenses. Transferability and continued access are not guaranteed and may require Client-owned subscriptions.

11.5 Portfolio. Unless Client requests confidentiality in writing before publication, Underdog may identify Kodak Cleaning Solutions as a client and display nonconfidential, publicly launched work in its portfolio, proposals, awards, and marketing. Underdog will not disclose private financial, customer, credential, or unpublished strategy information.

12. CONFIDENTIALITY AND DATA

12.1 Confidentiality. Each Party will use reasonable care to protect the other Party's nonpublic business, technical, customer, financial, credential, and strategy information and will use it only for this engagement. This does not cover information that is public without breach, already lawfully known, independently developed, or lawfully received from another source.

12.2 Required Disclosure. A Party may disclose information when legally required, after providing notice when legally permitted. Underdog may share necessary information with team members, contractors, and vendors bound by confidentiality obligations.

12.3 Privacy Compliance. Client is the business/controller responsible for determining lawful collection, notices, consent, retention, and use of customer or participant data. Underdog provides implementation support and does not serve as Client's attorney, compliance officer, financial adviser, insurer, or records custodian.

13. INDEPENDENT CONTRACTOR AND TEAM

13.1 Relationship. Underdog is an independent contractor. Nothing creates employment, partnership, joint venture, fiduciary duty, franchise, or agency authority to bind the other Party.

13.2 Team Resources. Underdog may use employees, contractors, specialists, software, automation, and artificial-intelligence-assisted tools under its direction. Underdog remains responsible for coordinating the contracted services and will use reasonable safeguards for Client information.

14. WARRANTIES; LIMITATION OF LIABILITY

14.1 Services Standard. Underdog warrants that it will perform services in a professional and commercially reasonable manner. Except for this limited warranty, services and deliverables are provided "as is" to the fullest extent permitted by law, without implied warranties of merchantability, fitness for a particular purpose, noninfringement, or uninterrupted operation.

14.2 Correction Remedy. Client must report a material service defect within ten (10) business days after delivery. Underdog's first obligation is to use reasonable efforts to correct the affected work. This remedy does not apply to third-party changes, Client edits, unsupported systems, new requirements, or matters outside the approved scope.

14.3 Liability Cap. To the fullest extent permitted by law, Underdog's total aggregate liability arising from this Agreement will not exceed the service fees actually paid by Client to Underdog during the three (3) months immediately preceding the event giving rise to the claim.

14.4 Excluded Damages. Neither Party will be liable for indirect, incidental, special, punitive, exemplary, or consequential damages, or for lost profits, lost revenue, lost data, lost opportunities, reputational harm, or business interruption, even if advised that such damages were possible. These limits do not excuse payment obligations, confidentiality breaches, infringement, fraud, or willful misconduct to the extent applicable law prohibits limitation.

15. INDEMNIFICATION

15.1 Client Indemnity. Client will defend, indemnify, and hold harmless Underdog and its team from third-party claims, damages, penalties, and reasonable costs arising from Client's products/services, regulated activities, financial or investment statements, supplied materials, customer data practices, instructions, legal violations, infringement, unauthorized claims, or breach of this Agreement.

15.2 Underdog Indemnity. Underdog will defend and indemnify Client from a third-party claim that a final custom deliverable created solely by Underdog, as delivered and used as authorized, directly infringes a United States copyright or trademark, excluding Client materials, third-party materials, combinations, modifications, instructions, facts, ideas, methods, and continued use after notice. Underdog may modify, replace, or withdraw the affected item as its primary remedy.

16. SUSPENSION AND TERMINATION

16.1 Termination for Convenience. Either Party may terminate this Agreement with thirty (30) days' written notice. Client remains responsible for fees through the notice period, completed work, time reserved, noncancelable commitments, and approved third-party expenses.

16.2 Immediate Suspension or Termination. Underdog may suspend or terminate for overdue payment, denied access, unlawful or deceptive requests, abuse or threats, security risk, repeated failure to approve or supply required materials, or material breach. When reasonably curable, Underdog will provide written notice and a reasonable opportunity to cure.

16.3 Closeout. After payment of all amounts due, Underdog will provide reasonable access or handoff of final deliverables then in its possession. Migration, training, cleanup, exports, restoration, vendor coordination, or extensive offboarding may be billed separately. Underdog may remove its access after termination and is not required to retain working files indefinitely.

17. DISPUTES AND GENERAL TERMS

17.1 Good-Faith Resolution. Before filing a claim, the Parties will provide written notice describing the dispute and will attempt in good faith to resolve it through a management-level conversation within fifteen (15) days.

17.2 Governing Law and Venue. This Agreement is governed by the laws of the State of North Carolina, without regard to conflict-of-law rules. Any court proceeding will be brought in a state or federal court with jurisdiction in North Carolina, and the Parties consent to that venue.

17.3 Notices. Formal notices may be delivered by email to the Parties' designated business addresses and are effective when sent, provided the sender does not receive a delivery failure. Routine project communication is not a formal legal notice unless it clearly states that it is notice under this Agreement.

17.4 Entire Agreement; Order of Priority. This Agreement and signed addenda are the entire agreement concerning this engagement and replace prior oral or written discussions on the same subject. If documents conflict, a later signed addendum controls, followed by this Agreement, followed by an approved statement of work. Proposals and messages do not change these terms unless expressly incorporated and approved by both Parties.

17.5 Changes; Waiver; Assignment. Changes must be in writing and approved by both Parties. A waiver once is not a continuing waiver. Client may not assign this Agreement without Underdog's written consent, except in connection with a sale of substantially all of Client's business that assumes all obligations. Underdog may assign to a successor or affiliated business.

17.6 Severability; Survival. If a provision is unenforceable, it will be narrowed or removed only as necessary, and the remainder will continue. Payment, intellectual property, confidentiality, disclaimers, limitations, indemnification, dispute, and closeout provisions survive termination.

17.7 Electronic Signatures. Typed names, electronic-signature platform signatures, and counterparts are valid and enforceable to the same extent as original signatures.

18. SIGNATURE AND AUTHORIZATION

By signing, each Party confirms that it has authority to enter this Agreement, has reviewed and accepts the scope, fees, exclusions, responsibilities, and terms, and authorizes services to begin as stated.

ACKNOWLEDGMENTS

By signing below, Client acknowledges and accepts:

1. The included scope of services described in Section 3 of this Agreement.
2. That the monthly service fee is $0.00 per month through January 15, 2027, and that from January 16, 2027 any services and price require new written or electronic approval by both Parties.
3. That forty (40) hours is a monthly capacity ceiling, that unused hours expire at month-end and do not roll forward, and that work beyond the included capacity requires written approval.
4. That website hosting, if needed, remains separate at $540.00 per year on the existing annual billing cycle.
5. That the new website and paid SEO service value, documented at $9,747.00, is gifted and internally covered by Avauntee Andrepoint through January 15, 2027, and that invoices or statements documenting that value create no additional payment obligation.
6. That domain registration, premium plugins, licensed software, email systems, payment processors, advertising media spend, and other third-party costs are excluded unless expressly gifted or authorized in writing.
7. That onboarding must be completed within three (3) business days, and that incomplete onboarding may pause services without refund, credit, extension, or rollover.
8. That no ranking, traffic, lead, sales, revenue, or other marketing result is guaranteed, and that the signer is authorized to enter into this Agreement for Kodak Cleaning Solutions.
